Our agreement
These Terms of Service govern access to the CarrierFlo website and software provided by CarrierFlo LLC, an Ohio limited liability company (“CarrierFlo,” “we,” “us”). By accessing or using the service, you agree to these terms. If you do not agree, do not use the service.
“You” means the individual using the service and, where applicable, the organization that individual represents. You must be at least 18 and authorized to act for that organization. A separately signed agreement controls over these terms to the extent of a conflict. Our Privacy Policy explains how we handle personal information.
Accounts & workspace access
Provide accurate account and billing information and keep it current. Protect passwords, API credentials, PINs, invitations, and shared links. You are responsible for activity you authorize through your account and for managing your team’s access.
Workspace administrators control membership and access to organization records. Customer portal access is limited to the records and features shared by the relevant organization. Do not access information outside your authorization, and notify us promptly if you suspect compromised credentials or unauthorized use.
What the service does
CarrierFlo provides tools for freight operations, which may include load management, dispatch, documents, invoicing, settlements, fleet visibility, customer collaboration, compliance organization, and AI assistance. Availability depends on your plan, configuration, supported integrations, and feature release status.
CarrierFlo is software, not a motor carrier, freight broker, insurer, emergency dispatcher, or legal, tax, or safety adviser. You remain responsible for transportation services, drivers, customer commitments, accounting, regulatory obligations, and the accuracy of records you use or send.
Tracking data may be delayed, unavailable, or inaccurate. Route, hours-of-service, compliance, and roadside information support your work but do not establish that a movement is safe or lawful. Roadside listings and contact tools do not guarantee a provider’s availability, quality, or response. For emergencies, contact the appropriate emergency service directly.
Plans, modules & billing
The order or checkout you accept specifies the selected plan, modules, quantities, billing cycle, fees, and any recurring payment authorization. Website estimates are informational until an order is accepted. Applicable taxes may be additional.
If you purchase a recurring subscription, you authorize charges for the recurring periods disclosed at checkout until cancellation takes effect. Changes to modules, seats, or fleet size are subject to the timing and charges disclosed when you make the change. Contact us if you need help changing or canceling service.
Cancellation, prorations, credits, and refunds follow the terms disclosed in your accepted order, any separate agreement, and applicable law. We will communicate changes to recurring pricing before they take effect. Overdue undisputed charges may result in suspension after notice and a reasonable opportunity to resolve the issue.
Your data & our software
You retain ownership of the content and records you provide. You grant CarrierFlo permission to host, process, copy, transmit, and display that content as necessary to provide, maintain, secure, and support the service and carry out your instructions.
You are responsible for having the rights and permissions needed to upload information, connect accounts, monitor vehicles or devices, and share records about drivers, customers, or other people. Provide any legally required notices and consents.
CarrierFlo and its licensors retain rights in the software, design, branding, and other service materials. Subject to these terms and your subscription, you may use the service for your authorized business purposes. These terms do not transfer ownership of the software to you.
Acceptable use
Do not use the service to violate law or another person’s rights, submit fraudulent records, distribute harmful code, send unlawful unsolicited messages, or disclose information you are not entitled to share.
Do not bypass authentication or access controls, probe other customers’ data, disrupt the service, evade usage limits, or copy or reverse engineer the software except where applicable law expressly permits it. Use API and integration access only within the permissions and limits provided.
Integrations & AI-assisted features
Third-party services are governed by their own terms. You authorize the exchange of information needed for connections and sharing features you enable. Provider changes, permission changes, outages, or revoked credentials can interrupt functionality. CarrierFlo does not control third-party services or guarantee their information.
AI-generated responses and extracted document fields can be incorrect or incomplete. Verify outputs against source records before dispatching, billing, paying, making compliance decisions, or communicating them to others. AI assistance does not replace professional judgment or required review.
Preview and beta features may change, have limits, or be discontinued. Demonstration workspaces and sample data illustrate functionality and are not actual fleet activity or a promise of business results.
Availability & service changes
We may update the service to improve it, address security issues, or respond to technical and legal requirements. We do not promise uninterrupted or error-free access. Maintenance and outages may affect availability.
Unless a separate written agreement provides otherwise, the service is provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.
Suspension, cancellation & records
You may stop using the service and contact us to cancel your account or subscription. Stopping use alone does not cancel a recurring subscription. Keep copies of records your business needs and request any available exports before closing a workspace.
We may restrict or suspend access where reasonably necessary to address a security threat, unlawful activity, material breach, or unpaid fees. Where practicable, we will give notice and an opportunity to resolve the issue. We may terminate service for an unresolved material breach or where required by law.
After termination, access may end and records will be handled under our Privacy Policy and applicable obligations. Provisions that should reasonably survive termination—including accrued payment obligations, ownership, limitations, and dispute terms—continue to apply.
Responsibility & limitations
To the extent permitted by law, neither party is liable under these terms for indirect, incidental, special, consequential, or punitive damages, or lost profits, arising from the service. This limitation does not excuse payment obligations or apply where liability cannot lawfully be limited.
To the extent permitted by law, CarrierFlo’s total liability arising from the service or these terms will not exceed the greater of US $100 or the fees you paid CarrierFlo for the service during the twelve months before the event giving rise to the claim. This limit does not apply to fraud, willful misconduct, or liability that applicable law does not permit us to limit.
Governing law & resolving concerns
These terms are governed by Ohio law, without regard to conflict-of-law rules, except where applicable law requires otherwise. Subject to mandatory legal rights, disputes will be brought in state or federal courts of competent jurisdiction in Ohio, and the parties consent to those courts.
Please contact hello@carrierflo.com first so we can try to resolve a concern. Nothing here prevents either party from seeking urgent relief or exercising rights that cannot be waived. These terms do not require arbitration.
Updates & contact
We may revise these terms. The date above identifies the latest revision, and we will provide notice of material changes as required by law. Continued use after revised terms take effect constitutes acceptance to the extent permitted by law. A change does not retroactively alter an accrued claim.
If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. These terms and your accepted order or separate agreement form the agreement for the service.
